Public Offer Agreement

PUBLIC OFFER AGREEMENT

This Agreement is an official and public offer of the Seller to conclude a contract of sale of the Goods presented on the website https://vysoka.techflagman.com.

This Agreement is public, which means that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers regardless of their status (individual, legal entity, or sole proprietor), without granting preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and conditions of order placement, payment, delivery, return of goods, liability for dishonest orders, and all other provisions of the Agreement.

The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives confirmation of the order from the Seller in electronic form.

1. DEFINITIONS OF TERMS

Public Offer (hereinafter – the “Offer”) – a public proposal of the Seller, addressed to an indefinite number of persons, to conclude a distance sales contract (hereinafter – the “Agreement”) with the Seller under the conditions set forth in this Offer.

Goods or Services – the subject of the transaction between the Parties, which has been selected by the Buyer on the Online Store website and placed in the cart, or already purchased by the Buyer from the Seller remotely.

Online Store – the Seller’s website at www.vysoka.coffee, created for concluding retail and wholesale contracts of sale and purchase based on the Buyer’s review of the Goods description provided by the Seller via the Internet.

Buyer – a legally capable individual who has reached the age of 18, who receives information from the Seller, places an order for the purchase of Goods presented on the Online Store website for purposes not related to business activities, or a legal entity, or a sole proprietor.

Seller – Vysoka company, a legal entity established and operating under the current legislation of Ukraine, registered at: Kyiv, 18 M. Hrinchenka Street.

2. SUBJECT OF THE AGREEMENT

The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the conditions of this Agreement.

The date of conclusion of the Offer Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement shall be deemed the date the Buyer fills out the order form located on the Online Store website, provided that the Buyer receives confirmation of the order in electronic form from the Seller. If necessary, at the request of the Buyer, the Agreement may be executed in written form.

3. ORDER PLACEMENT

The Buyer independently places an order in the Online Store through the “Cart” form, or by placing an order via email or by the phone number indicated in the “Contacts” section of the Online Store.

The Seller has the right to refuse to deliver the order to the Buyer if the information provided by the Buyer when placing the order is incomplete or raises doubts regarding its validity.

When placing an order on the Online Store website, the Buyer undertakes to provide the following mandatory information necessary for the Seller to fulfill the order:

  1. surname and first name of the Buyer;
  2. address for delivery of the Goods (if delivery to the Buyer’s address is required);
  3. contact phone number;
  4. identification code for a legal entity or sole proprietor.

The name, quantity, item code, and price of the Goods selected by the Buyer are indicated in the Buyer’s cart on the Online Store website.

If either Party to the Agreement requires additional information, they have the right to request it from the other Party. If the Buyer fails to provide the necessary information, the Seller shall not be responsible for providing proper service to the Buyer when purchasing goods in the Online Store.

When placing an order through the Seller’s operator (clause 3.1 of this Offer), the Buyer undertakes to provide the information specified in clauses 3.3 – 3.4 of this Offer.

Acceptance by the Buyer of the terms of this Offer is carried out by entering the relevant data in the registration form on the Online Store website or when placing an Order through the operator. After placing an Order through the operator, the Buyer’s data is entered into the Seller’s database.

The Buyer is responsible for the accuracy of the information provided when placing the Order.

By concluding the Agreement, i.e., by accepting the terms of this Offer (the proposed terms of purchase of the Goods) by placing an Order, the Buyer confirms the following:

  1. The Buyer is fully aware of and agrees with the terms of this Offer;
  2. The Buyer consents to the collection, processing, and transfer of personal data; such consent remains valid throughout the entire term of the Agreement, as well as for an indefinite period after its termination.
  3. Furthermore, by entering into the Agreement, the Buyer confirms that they have been informed (without additional notification) of their rights established by the Law of Ukraine “On Personal Data Protection,” of the purposes of data collection, and that their personal data is transferred to the Seller to enable the fulfillment of the terms of this Agreement, the possibility of settlements, and for receiving invoices, acts, and other documents.
  4. The Buyer also agrees that the Seller has the right to grant access to and transfer their personal data to third parties without any additional notice to the Buyer for the purpose of fulfilling the Buyer’s order. The scope of the Buyer’s rights as a subject of personal data under the Law of Ukraine “On Personal Data Protection” is known and understood to the Buyer.
